Terms of Use — Vorialis Contract Assistant

1. Who this agreement is with

These Terms of Use ("Terms") are a legal agreement between you and Vorialis LLC ("Vorialis," "we," "us," or "our"), a Pennsylvania limited liability company. Vorialis provides the Contract Assistant platform ("Service") that your union has made available to you. By checking the agreement box and using the Service, you agree to these Terms.

2. What the Service is

Contract Assistant lets union members ask plain-language questions about their collective bargaining agreement and receive answers generated by an AI system, drawn from the contract text your union has provided. It also lets members submit grievance inquiries, which are routed to your union's designated representatives.

This is not legal advice. Answers are generated automatically based on contract documents and may be incomplete, outdated, or incorrect. Nothing in the Service should be treated as a substitute for advice from your union representative, a licensed attorney, or another qualified professional. If an answer conflicts with the actual contract text or with guidance from your union, the contract and your union's guidance control.

This Service is intended solely for use by members of the union that has made it available to them. Answers generated by the Service are not authoritative determinations of contract compliance and do not constitute a finding by Vorialis, your union, or any other party as to whether a particular action, incident, or scenario complies with or violates any agreement.

3. Eligibility

The Service is intended for members of unions that have partnered with Vorialis to offer it. It is not directed at children, and you must be able to form a binding agreement to use it.

4. Acceptable use

When using the Service, you agree not to:

Include sensitive personal information about other identifiable individuals (for example, patient information, student information, or details about coworkers) in your questions or grievance submissions;
Attempt to access another union's data, the administrator dashboard, or any part of the Service you are not authorized to use;
Use the Service to harass, threaten, or defame anyone;
Attempt to interfere with, disrupt, or reverse-engineer the Service;
Use the Service for any unlawful purpose.

5. Grievance submissions

If you use the grievance-inquiry feature, the information you provide (which may include your name, phone number, unit, and details about the situation) is submitted to your union's designated grievance representative. Vorialis is a technology provider facilitating this submission — Vorialis does not investigate, decide, or represent you in any grievance or disciplinary matter.

6. Third-party services

The Service relies on third-party providers to operate, including an AI language model provider, database hosting, transactional email delivery, and content-delivery infrastructure. Your questions and, where applicable, contract text are processed by these providers solely to generate responses and operate the Service. See our Privacy Policy for more detail.

7. No warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any warranty of accuracy, reliability, or fitness for a particular purpose. Vorialis does not guarantee the Service will be uninterrupted, error-free, or secure.

8. Limitation of liability

To the fullest extent permitted by law, Vorialis LLC and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of or inability to use the Service, including any reliance on an answer generated by the Service.

9. Changes to the Service or these Terms

We may update these Terms or modify the Service from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Termination

We may suspend or terminate access to the Service for any user or union at our discretion, including for violation of these Terms.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.
